This agreement governs your access to and use of the Ian Reid Vendor Advocacy platform. By using the service, you accept these terms in full.
Ian Reid Vendor Advocacy provides vendor relationship management, contract compliance monitoring, and supplier performance analytics for mid-market enterprises and procurement teams in India. The platform includes a centralized dashboard for tracking vendor communications, managing contract renewals, resolving disputes through structured escalation workflows, and generating compliance reports aligned with Indian GST and TDS regulations. Automated alerts for contract milestones, vendor scorecards based on delivery metrics, and a secure document repository for agreements and invoices are included as part of the service.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to update such information as necessary. You must not use the platform for any unlawful purpose or in violation of any applicable Indian laws or regulations, including but not limited to GST and TDS compliance requirements.
All content, features, and functionality of the Ian Reid Vendor Advocacy platform, including but not limited to software, databases, reports, dashboards, and documentation, are owned by Ian Reid Vendor Advocacy or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the platform for your internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the platform without prior written consent.
Ian Reid Vendor Advocacy shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform, including but not limited to loss of profits, data, or business opportunities. Our total liability for any claim arising from these terms or your use of the service shall not exceed the amount paid by you for the service during the twelve months preceding the claim. This limitation applies to the fullest extent permitted by applicable Indian law.
Either party may terminate this agreement at any time by providing written notice. Upon termination, your access to the platform will be revoked, and you must cease all use of the service. Ian Reid Vendor Advocacy reserves the right to suspend or terminate your account immediately if you breach these terms or violate applicable laws. Sections related to intellectual property, limitation of liability, and governing law shall survive termination.
We may update these terms from time to time to reflect changes in our service, legal requirements, or operational practices. Material changes will be communicated via email or through a notice on the platform. Your continued use of the service after the effective date of the updated terms constitutes acceptance of the changes. If you do not agree with the revised terms, you must stop using the platform.
These terms are governed by the laws of India. Any disputes arising from these terms or your use of the platform shall be resolved through good-faith negotiations. If the dispute cannot be resolved within thirty days, it shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.
